Registered Agent Services
All Nevada entities require a Registered Agent to accept official documents on behalf of the entity in the event a claim should be filed against the entity. The Registered Agent must be a resident of the state of incorporation/organization and maintain a physical address in that state. The Registered Agent must be available to accept service of process on behalf of the entity during regular business hours. The Registered Agent also maintains copies of the required entity documentation and receives correspondence from the Secretary of State.
Although it is possible to act as your own Registered Agent, this can result in problems. First of all, you lose the flexibility to close your office at will as it is necessary to always be open during regular business hours to accept service of process. In addition, a Registered Agent will allow you to avoid the embarrassment of being served legal documents in front of clients, vendors, or employees. By maintaining the privacy of your residence, you will also have the additional advantage of not being served at your home.
As your Registered Agent, Esquire Group will notify you when filings become due so that you do not incur any charges for late filings that would cause your charter to go into default or worse, be revoked. If your Nevada entity conducts business outside of the state of Nevada, it is likely that you will have to have a Registered Agent in every state where you conduct business or have a permanent establishment.
